Commercial Contracts and Licensing Attorney

<p><strong>Epiq Counsel is partnering with our leading, global technology client to identify a Commercial Contracts and Licensing Attorney based in Santa Clara, CA. </strong></p><p><br></p><p><strong>This role offers the opportunity to step into a fast</strong>‑<strong>paced in</strong>‑<strong>house legal environment and work on early-stage ventures, product development initiatives, and strategic partnerships. </strong></p><p><br></p><p><strong>Qualifications:</strong></p><ul><li>Willingness to support a hybrid schedule out of our client's Santa Clara, CA office. The expectation is Tue/Wed/Thurs in office.</li><li>J.D. from an accredited law school and active bar membership in good standing.</li><li>5–10+ years of relevant experience in commercial contracts, technology transactions, or licensing.</li><li>Demonstrated experience drafting and negotiating NDAs, vendor agreements, procurement contracts, as well as software and technology licensing agreements (including SaaS).</li><li>Strong ability to work within established templates and playbooks while efficiently managing high-volume contract workflows.</li><li>Experience collaborating with cross-functional stakeholders in a business-facing legal role.</li><li>Experience supporting technology companies, R&D functions, or innovation/startup environments (preferred).</li></ul><p><br></p><p><strong>Key Responsibilities:</strong></p><ul><li>Draft, review, and negotiate a high volume of commercial agreements, with a primary focus on NDAs, software licensing agreements (inbound and outbound), vendor agreements, and procurement contracts.</li><li>Pilot, proof-of-concept, and early customer engagement agreements.</li><li>Support startup incubation efforts by structuring and developing new contract forms where no precedent or playbook exists.</li><li>Partner with business teams to enable product development and commercialization efforts, including collaborations with external partners, researchers, and vendors.</li><li>Draft and negotiate agreements related to joint development, testing, and evaluation of new technologies and offerings.</li><li>Provide limited, practical legal guidance in connection with contract negotiations and business objectives.</li><li>Support digital and application-based offerings, including drafting terms of use and product-related terms for software and app-based solutions.</li><li>Assist with e-commerce and online business initiatives (e.g., direct-to-consumer sales via client's platforms).</li><li>Issue-spot legal risks, including privacy considerations, and coordinate with subject matter experts (e.g., privacy counsel) as needed.</li></ul><p><br></p><p><strong>Benefits</strong></p><ul><li>Hybrid role - 3 days onsite in Santa Clara-based office.</li><li>Compensation commensurate with experience.</li><li>401(k) with company match</li><li>PTO and paid federal holidays</li><li>Optional medical coverage; HSA Account; Wellness Program</li><li>Employee Assistance Program</li><li>Pre-tax Commuter Benefits (as applicable)</li></ul><p><br></p><p>Should your experience meet the role requirements, the Epiq Counsel team will contact you.
